Terms and conditions

1. Scope
These terms and conditions apply to all services offered by Advyze SRL, trading under the Sozially brand, enterprise number 1023.169.955 and VAT number BE 1023.169.955 (referred to below as ‘Sozially’, ‘we’, ‘us’, or ‘our’).
Our registered and postal address is Pastoor Bauwenslaan 32/302, 2610 Antwerp, Belgium. This is not a public visitor office.

2. Services
Sozially provides web development and design, search engine optimisation (SEO), web hosting and maintenance, and digital strategy and consulting.
The specific scope, deliverables, and prices for each project are set out in a separate quotation or agreement.
3. Quotations and agreements
Quotations are non-binding and valid for 30 days unless stated otherwise. An agreement is formed when the client accepts the quotation in writing, including by email.
4. Prices and payment
- All prices exclude VAT (21%) unless stated otherwise.
- Invoices are payable within 14 days of the invoice date.
- In the event of late payment, interest of 10% per year is due by operation of law and without prior notice, together with fixed compensation of 10% of the invoice amount, subject to a minimum of €50.
5. Performance and delivery
- Delivery periods are indicative and non-binding unless expressly agreed otherwise in writing.
- The client undertakes to provide all required information, content, and feedback on time.
- Delays caused by the client suspend the delivery period.
6. Intellectual property
- After full payment, ownership rights in the final product, including the website, design, and content, are transferred to the client.
- Sozially retains the right to refer to the work in its portfolio unless agreed otherwise in writing.
- Open-source components and third-party licences remain subject to their respective licence terms.
7. Liability
- Sozially’s liability is limited to the amount invoiced for the service concerned.
- Sozially is not liable for indirect loss, loss of profit, or damage caused by force majeure.
- The client is responsible for the accuracy of supplied content and compliance with applicable law.
8. Hosting and maintenance
- Hosting services are offered on a monthly or annual subscription basis.
- Sozially aims to provide reliable availability but does not guarantee a specific uptime percentage unless this is expressly agreed separately in writing.
9. Termination
- Ongoing hosting and maintenance subscriptions may be terminated with 30 days’ notice before the end of the billing period.
- If the client terminates a project early, all hours already worked and costs already incurred remain payable.
10. Confidentiality
Both parties undertake not to disclose the other party’s confidential information to third parties, except where necessary to perform the agreement.
11. Governing law and disputes
Belgian law applies to these terms. The parties will preferably resolve disputes amicably. Failing that, only the courts of the district in which Sozially is established have jurisdiction.
